All services are provided on a project basis, subscription basis, or as agreed upon in individual service agreements.

4. Service Agreements

Each project or engagement will be governed by a separate Service Agreement or Statement of Work (SOW) that outlines:

  • Scope of work and deliverables
  • Project timeline and milestones
  • Pricing and payment terms
  • Intellectual property rights
  • Confidentiality obligations

In the event of any conflict between these Terms and Conditions and a specific Service Agreement, the Service Agreement shall prevail.

5. Payment Terms

Payment terms are as specified in individual service agreements. The following general terms apply to all engagements:

  • We accept payments via bank transfer, UPI, and approved payment gateways.
  • All prices are quoted in Indian Rupees (INR) unless otherwise specified.
  • GST and other applicable taxes will be charged as per Indian law.
  • Invoices are issued as per the agreed milestone or billing schedule.
  • Late payments may attract interest at 1.5% per month.

The following intellectual property terms apply to all engagements:

  • All intellectual property created during a project belongs to the Company until full payment is received.
  • Upon complete payment, IP rights transfer as specified in the service agreement.
  • The Company retains the right to use anonymized project details in its portfolio unless otherwise agreed.
  • Pre-existing IP and third-party licenses remain with their respective owners.

7. Confidentiality

Both parties agree to maintain the confidentiality of proprietary information shared during the engagement. Specifically:

  • Confidential information shall not be disclosed to third parties without written consent.
  • This obligation survives the termination of any service agreement.
  • Each party shall use reasonable measures to protect the other party's confidential information.

8. Limitation of Liability

To the maximum extent permitted by law:

  • Our total liability is limited to the amount paid for the specific service.
  • We are not liable for indirect, incidental, or consequential damages.
  • We do not guarantee uninterrupted or error-free service delivery.
  • Force majeure events excuse non-performance.

9. Termination

Either party may terminate a service engagement as per the terms in the respective service agreement. Upon termination:

  • The client shall pay for all work completed up to the termination date.
  • All deliverables completed up to the termination date will be provided to the client upon receipt of full payment for completed work.
  • Provisions regarding confidentiality, IP, and limitation of liability survive termination.

10. Dispute Resolution

Any disputes arising from these terms shall be resolved through:

  1. Good faith negotiation between the parties.
  2. If unresolved within 30 days, through mediation or arbitration.
  3. The laws of India shall govern these terms.
  4. Courts in Bengaluru, Karnataka shall have exclusive jurisdiction.
